Databricks offer on the table, trying to make sense of the equity story

Got an offer from DBX last week and I've been going back and forth on it. 6 YOE, currently at a large FAANG adjacent company. Wanted to put my thinking somewhere and see if anyone has been in a similar spot.

The base is solid and TC is competitive, but the equity piece is where it gets complicated. DBX is still private with a last valuation around $43B. RSUs have a 4-year cliff structure (or at least the offer framing makes it feel that way), which means if you leave before 12 months you walk away with nothing. Standard stuff, just something to keep in mind going in.

The bigger thing I keep coming back to is dilution. They've raised a lot, and the gap between preferred share price and common stock fair market value can be wide at this stage. The number on the offer letter sounds great but what it actually converts to at IPO (or acquisition) depends on a lot of factors nobody can predict right now.

On the business side, I do think the Unity Catalog bet is interesting. My read is that if data governance and interoperability across cloud providers end up mattering as much as people think, DBX is positioned well. Snowflake is the obvious competitor, but Snowflake's data lake story has always felt bolted on while DBX built that layer natively. That's a real differentiation ngl.

What I'm less sure about is the AI angle. DBX markets itself heavily on the data+AI story but a lot of that is essentially wrapping open source (Delta Lake, MLflow, Spark) with enterprise support. The moat depends on whether Unity Catalog gets adopted before Snowflake figures out a comparable answer. That's not a certainty.

From what I've heard internally, WLB is team-dependent. Some orgs have reasonable on-call, others are rougher. Hybrid policy is real but not heavily enforced from what people tell me.

Still deciding. If anyone has recent comp data or insider read on which teams have decent culture, would appreciate the input.
